Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Localflow platform and related services (the "Service") operated by Enrich Services (Private) Limited, trading as Localflow ("Localflow", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

1. The Service

Localflow is a software-as-a-service platform that provides workflow, operations, and client management tools for tour operators and travel businesses. Features include itinerary creation, quotation management, supplier management, team collaboration, calendar integration, and AI-powered reporting.

2. Accounts and Organisations

2.1 Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

2.2 Organisations

The Service supports multi-user organisations. The person who creates an organisation is the owner. Owners may invite team members and assign roles with different permission levels. You are responsible for all actions taken by members of your organisation.

2.3 Account Security

You must notify us immediately at hello@localflow.travel if you suspect unauthorised access to your account. We recommend enabling two-factor authentication (available in Settings).

2.4 Age Requirement

You must be at least 18 years old to use the Service.

3. Subscriptions and Billing

3.1 Plans

Localflow is offered on a subscription basis. Current plans, pricing, and included features are described at localflow.travel/pricing. Plan limits (e.g. maximum workflows, maximum team members) apply as described for your chosen plan.

3.2 Billing

Subscriptions are billed in advance on a monthly or annual basis through Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis. All fees are in USD unless otherwise stated.

3.3 Trials

We may offer a free trial period. At the end of the trial, your subscription will automatically continue at the applicable plan rate unless you cancel before the trial ends.

3.4 Upgrades and Downgrades

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and are charged on a pro-rated basis. Downgrades take effect at the next billing cycle.

3.5 Cancellation

You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date. We do not provide refunds for partial billing periods unless required by law.

3.6 Payment Failures

If a payment fails, we will retry and notify you by email. If payment is not resolved within 14 days, your account may be suspended. Data is retained for 30 days after suspension before permanent deletion.

3.7 Taxes

You are responsible for any applicable taxes. Prices shown exclude GST, VAT, or other taxes unless stated.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Store or transmit personally identifiable information for purposes unrelated to your tour operation business without appropriate legal basis
  • Upload or transmit malware, viruses, or malicious code
  • Attempt to gain unauthorised access to the Service or other accounts
  • Reverse-engineer, decompile, or disassemble the Service
  • Use automated means (bots, scrapers) to access the Service without our written consent
  • Resell, sublicense, or make the Service available to third parties without our prior written consent
  • Use the Service in any way that could damage, disable, or impair the Service or interfere with other users

We reserve the right to suspend or terminate accounts that violate these restrictions.

5. Your Data

5.1 Ownership

You retain full ownership of all data, content, and information you input into the Service ("Customer Data"). We claim no intellectual property rights over your Customer Data.

5.2 Licence to Us

You grant us a limited, non-exclusive licence to process your Customer Data solely to provide and improve the Service as described in our Privacy Policy. We will not use your Customer Data to train AI models or share it with third parties except as described in the Privacy Policy.

5.3 Data Export

You may export your data at any time from Settings → Data Export. We support export in standard formats (JSON/CSV).

5.4 Data Deletion

Upon termination of your account or organisation, your Customer Data will be deleted within 30 days, except where we are required to retain it by law (e.g. payment records).

5.5 Security

We implement reasonable technical and organisational measures to protect your data as described in our Privacy Policy. However, you are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining any necessary consents from your own clients whose information you store in Localflow.

6. Third-Party Integrations

The Service integrates with third-party services including Google (Calendar, Maps), Stripe (payments), OpenAI (AI features), and Resend (email). Your use of these integrations is subject to those providers' terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

7. Intellectual Property

7.1 Our Property

The Service, including its software, design, trademarks, and content (excluding Customer Data), is owned by us or our licensors and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding.

7.2 Feedback

If you provide us with feedback, suggestions, or feature requests, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without compensation to you.

8. Confidentiality

Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties without prior written consent, except as required by law. "Confidential information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

9. Availability and Support

9.1 Availability

We aim to provide a reliable Service but do not guarantee 100% uptime. We may perform scheduled maintenance with advance notice where possible.

9.2 Support

We provide email support at hello@localflow.travel. Response times vary by plan. We do not currently offer SLA-backed uptime guarantees or dedicated support unless agreed separately in writing.

9.3 Changes to the Service

We may add, modify, or remove features at any time. For material reductions in functionality, we will provide at least 30 days' notice where practicable.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted or error-free.

We do not warrant the accuracy of any AI-generated content produced by the Service. AI features are tools to assist your work, not a substitute for professional judgment.

11. Limitation of Liability

To the maximum extent permitted by applicable law, our total cumulative liability to you for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amounts you paid us in the 12 months before the claim arose, or (b) USD $100.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold us harmless from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Data; or (c) your violation of any third party's rights.

13. Termination

13.1 By You

You may terminate your account at any time by cancelling your subscription and deleting your organisation from Settings.

13.2 By Us

We may suspend or terminate your access immediately if you breach these Terms, fail to pay amounts owed, or if we are required to do so by law. We will give reasonable notice where practicable except in cases of serious breach or fraud.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 5 (Your Data), 7 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law) survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of Sri Lanka, without regard to its conflict of law principles.

Any dispute arising from these Terms shall first be addressed by contacting us at hello@localflow.travel. If not resolved within 30 days, disputes shall be resolved by binding arbitration in Sri Lanka under the rules of the Sri Lanka National Arbitration Centre (SLNAC), except that either party may seek injunctive relief in a court of competent jurisdiction. Notwithstanding the foregoing, if you are a consumer in a jurisdiction that prohibits mandatory arbitration, you retain your right to bring claims in a court of competent jurisdiction.

Class action waiver: You agree to resolve disputes with us only on an individual basis, not as a plaintiff or class member in any class, collective, or representative action.

15. General

15.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that right.

15.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor in connection with a merger, acquisition, or sale of assets.

15.5 Changes to Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email or in-app notification. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
